Terms & Conditions of Technical Engagement

Effective Date: November 2026 • Version 1.0 (Draft Ready for Dictation)

Notice to Stakeholders: These terms represent the foundational engineering and security consulting framework for KRYS Technologies. Section 7 is explicitly designated as a reserved placeholder for custom terms, commercial retainers, and jurisdictional clauses to be dictated by the founder/consultant.

01 Preamble & Parties

This Technical Consultancy Agreement ("Agreement") governs technical advisory, fullstack software development, backend infrastructure architecture, and cybersecurity auditing services provided by KRYS Technical Consultancy ("Consultant", "We", "Us"), led by Kaushik Chakraborty, to the subscribing client ("Client", "You").

02 Scope of Software & Architecture Services

Services may encompass:

  • High-concurrency backend development (Golang, Node.js, Python, PostgreSQL, Redis, gRPC/REST APIs).
  • Fullstack web application engineering (Next.js, React, modern UI frameworks, edge optimization).
  • Cybersecurity assessments, vulnerability penetration testing, OWASP Top 10 remediation, and threat modeling.
  • DevOps automation, cloud infrastructure deployment (AWS, GCP, Docker, Kubernetes, Terraform IaC).
  • Fractional technical advisory and codebase modernization.

03 Cybersecurity & Vulnerability Disclaimer

Consultant applies rigorous industry standards and modern threat intelligence during all security audits and architecture builds. However, the Client acknowledges that:

  • No software system is mathematically immune to undiscovered zero-day exploits, hardware vulnerabilities, or catastrophic third-party dependency compromises.
  • Security assessments reflect the system's threat posture at the specific time of testing. Subsequent unauthorized modifications to infrastructure, API keys, or access controls by the Client's internal personnel or third parties remain outside Consultant's control.
  • Consultant provides actionable remediation reports and advisory; prompt implementation of critical patches is the mutual responsibility of both parties.

04 Intellectual Property & Code Ownership

Upon receipt of full compensation as outlined in the project's Statement of Work (SOW):

  • All custom source code, application architectures, database models, and documentation created explicitly for Client are assigned 100% to the Client.
  • Open-source libraries and standard third-party tools remain subject to their respective open-source licenses (MIT, Apache 2.0, BSD).
  • Consultant reserves the right to mention project completion for portfolio/case-study purposes, unless an explicit Non-Disclosure Agreement (NDA) precludes public attribution.

05 Confidentiality & Non-Disclosure (NDA)

Consultant and Client mutually agree to maintain strict confidentiality regarding all proprietary business plans, database records, cryptographic keys, credentials, and source code. Neither party shall disclose proprietary materials without prior written consent.

06 Payment Terms & Milestone Handover

Engagements operate via milestone-based deliverables or bi-weekly sprint retainers agreed upon prior to project kickoff. Source code repository access, staging deployments, and production releases correspond to agreed milestone approvals.

07. Custom dictated Terms (Reserved for Kaushik Chakraborty)

This section is reserved for custom terms to be dictated at a later time.

// Placeholder: When you are ready to dictate specific clauses (e.g., payment schedules,
// specific SLA turnaround times, jurisdiction, arbitration, or liability limits),
// provide the wording and it will be updated immediately right here.
